PayRewards LLC doing business as “PayRewards” (PayRewards, we, our or us) provides the refer and earn promotion (the Promotion) in accordance with these terms and conditions (these Terms).

The PayRewards Terms and Conditions (Platform Terms) also apply to your use of the Platform and/or access to the PayRewards Loyalty Program. Any capitalized terms used but not defined in these Terms have the same meaning given to them in the Platform Terms.

By participating in the Promotion, including by providing or using a Unique Link, you agree to be bound by these Terms. References in these Terms to “you” mean the Referrer or the Potential Referral/Successful Referral, as applicable.

1. To qualify for the Promotion as the person making the referral (the Referrer), you must be an existing User of PayRewards and have an active PayRewards Account for which you are the Account Owner, that is not suspended or otherwise in default.
2. The person you would like to refer (the Referral) must be someone with whom the Referrer has an existing business or personal relationship, and the Referral must be eligible to open a PayRewards Account in accordance with the Platform Terms.
3. To make a referral, the Referrer must share the unique link provided to the Referrer at app.payrewards.com/refer (“Unique Link”). The Referrer may also be able to initiate an email to Referrals directly from the PayRewards platform, and if the Referrer sends any referral emails from the platform (including any reminders), the Referrer acknowledges and agrees that the Referrer has the Referral’s consent to do so. The Referrer and the Referral must comply with these Terms, the Platform Terms and any requirements notified by PayRewards in connection with the Promotion.
4. The Referrer must not:
   • provide or publish any information, or make any representation about the Promotion to any person, other than by sharing the Unique Link provided to you by PayRewards;
   • attempt to refer any person to PayRewards for the purposes of the Promotion if that person has made you aware that they do not wish to participate;
   • represent to any person that you are an agent or representative of PayRewards; or
   • represent to any person that a referral under this Promotion is required in order to apply for a PayRewards Account
5. The Referral must be a new customer of PayRewards (not having previously held a User account with PayRewards). All account applications are subject to our standard account opening criteria and will be governed by the Platform Terms.
6. To qualify for the Promotion, the Referral must:
   • be approved for and open a fully verified PayRewards Account as Account Owner using a Referrer’s Unique Link during registration;
   • satisfy standard account opening criteria and KYC/KYB procedures;
   • make a total of USD$10,000 or more of payments via the Platform which are successfully remitted within 30 days of being fully verified; and
   • meet any other eligibility requirements applicable to the Promotion from time to time, as set out at app.payrewards.com/refer,(together, a Successful Referral).
7. For the avoidance of doubt, if the Referrer’s Unique Link is not entered during the Referral’s sign-up process, the Referral will not qualify as a Successful Referral. Referrers and Referrals acknowledge and agree that PayRewards is under no obligation to accept any Referral as a Successful Referral if the Unique Link is not entered during the sign-up process.
8. Referrals may only use Referral Links provided through a direct relationship with the Referrers and PayRewards reserves the right to request evidence from Referrals before qualifying the Referral as a Successful Referral.
9. PayRewards may, its sole and absolute discretion, refuse to apply, reverse or cancel any benefit obtained under this Promotion, including where it reasonably determines that the eligibility conditions in these Terms have not been met, the Referral Link was not validly entered at sign-up, the Referral Link has been obtained, used or shared contrary to these Terms (including self-referral or sharing in unauthorised channels), or the referral benefit was credited by mistake, as a result of fraud or misuse, or otherwise in a manner inconsistent with these Terms.
10. If any restrictions, conditions or account suspensions apply to the operation of the Referrer’s User or PayRewards Account or the Referral’s PayRewards Account, the Referral will not qualify as a Successful Referral until any such restrictions, conditions or suspensions have been removed. Each of the Referrer and the Referral must continue to comply with these Terms and the Platform Terms at all relevant times in connection with the Promotion.
11. The amount of bonus PayRewards Points that the Referrer and, if applicable, the Successful Referral will receive (including any milestone bonuses) (Bonus PayRewards Points) will be in accordance with the referral bonus rates applicable at the time the Successful Referral registers using the Referrer’s Unique Link, as set out at app.payrewards.com/refer and/or the Referrer’s customised landing page for this Promotion.
12. If the Referral qualifies as a Successful Referral, we will allocate the bonus PayRewards Points to the Referrer and, if applicable, the Referral within 30 days of qualification.
13. We will not provide any payment, commission or reward of any type in connection with the Promotion unless specifically set out in these Terms.
14. The Referrer will only be eligible to receive any individual Bonus PayRewards Points once per Successful Referral; however, the number of Successful Referrals that the Referrer can make is not capped.
15. Where we consider that any of these Terms have been breached or there is any reason to suspect any participant has acted dishonestly, fraudulently or obtained an unfair or unintended advantage in connection with the Promotion, we reserve the right to stop or withdraw the allocation of Bonus PayRewards Points to any person involved without notice.
16. PayRewards does not guarantee the availability of the Promotion. We may alter, amend, suspend or terminate the Promotion (including any eligibility conditions or referral benefits) or any aspect of these Terms at any time by providing prior notice via the Platform, Website, email or any other communication channel we consider appropriate. Any decision we make about the operation of the Promotion or the application of these Terms will be made in our sole discretion. In the event of any Referral Link which is withdrawn or where a referral benefit is reduced or removed, PayRewards will honour any referral benefits in respect of sign-ups by Referrals using the relevant Referral Link prior to the date of amendment or withdrawal.
17. To the maximum extent permitted by law, and save for any instances of our gross negligence, we will not be liable for any loss incurred by any person in connection with their participation in the Promotion.
18. If any provision of these Terms becomes invalid, illegal or unenforceable in any respect under the law of any jurisdiction, such invalidity, illegality or unenforceability will not affect any other provision of these Terms, and that provision will be reformed and construed so that it is valid, legal and enforceable to the maximum extent permitted by law.
19. These Terms shall be governed by and construed in accordance with the laws of the State of New York and shall be subject to the exclusive jurisdiction of the courts located in New York County, New York.
